I'd think it would be better to structure the deal so that the buyer gets some skin in the game, but we retain some upside. So we plot out expected tax revenue growth, less state-running costs, absent a sale for some number of years - say, twenty - with the federal government getting the net tax revenue up to the benchmark, and then the buyer gets an initial share of tax revenue in excess of that benchmark up to a hurdle, and then buyer splits with the federal government excess revenue above the hurdle. You have an up-front buy-in payment and then an option to buyout the other party after twenty year period. Buyer manages the state during the twenty year period in whatever way it deems appropriate, with some limited involvement by the federal government. Maybe after a buyout the federal government can retain the buyer to manage at an agreed-upon rate.
